Terms of Service
These terms apply to quotations, samples and orders placed with Zhejiang Nifei Cosmetics Co., Ltd. ("we", "us"). They do not affect your statutory rights.
1. Quotations and prices
Quotations are valid for 30 days unless stated otherwise. Prices are in US dollars, FOB Ningbo or Shanghai unless agreed differently, and exclude freight, insurance, duties and taxes. Prices may be adjusted if raw material costs change by more than 10% before production starts.
2. Minimum order quantity
Our standard MOQ is 500 pieces per shade and per component. Lower trial quantities can be arranged for stock items and are quoted separately.
3. Samples
Stock samples are free; you pay the courier charge. Custom shades and custom packaging are sampled against a tooling and sampling fee, which is refunded against the first production order above the agreed quantity.
4. Orders
An order becomes binding when we confirm it in writing and receive the deposit. The buyer is responsible for approving the artwork, shade references and components before production.
5. Payment
Unless agreed otherwise: 30% deposit before production, 70% balance before shipment. We accept T/T and, for repeat customers, L/C at sight.
6. Lead time and delivery
Standard lead time is 25-35 days after deposit and approval of artwork. Custom components usually add 10-15 days. Shipping dates are estimates; we are not liable for delays caused by carriers, customs, or events outside our control.
7. Quality and claims
All goods are produced under GMPC and ISO22716. Claims for visible defects must be raised within 15 days of delivery, with photographs and the batch number. We will replace defective goods or credit their value; our liability is limited to the value of the affected goods.
8. Intellectual property
Formulas, artwork and packaging that we create remain our property until paid in full, after which the rights transfer to the buyer. The buyer guarantees that any logo or design supplied to us does not infringe a third party's rights.
9. Compliance
The buyer is responsible for ensuring that the product formulation, labelling and claims satisfy the regulations of the destination market. We supply MSDS, COA and certificates to support your registration.
10. Cancellation and returns
Orders may be cancelled before production starts; the deposit is refunded less any materials already purchased. Made-to-order and custom-printed goods cannot be returned unless defective.
11. Limitation of liability
We are not liable for loss of profit, loss of market or indirect damages. Our total liability for any order is limited to the invoice value of that order.
12. Governing law
These terms are governed by the laws of the People's Republic of China. Disputes will first be settled amicably; failing that, by arbitration in Jinhua or the court with jurisdiction over the place of our registration.
